Buyback Policy

Buyback is not automatic, guaranteed or unconditional. It may occur only with Management Company consent and under this policy.

Scope

This policy describes a potential repurchase mechanism for Converted Share after a Conversion Event. It does not apply to Seed Tokens before conversion unless the Management Company expressly provides otherwise.

Buyback may be performed by the Management Company, Founder SPV or another person designated by the Management Company.

Buyback Conditions

Buyback may occur only at the initiative or with consent of the Management Company, subject to liquidity, sufficient reserves, no harm to financial condition, no breach of creditor rights, law, regulatory, tax or compliance requirements.

The Management Company may reject buyback, offer another price, complete partial buyback or defer it.

Procedure

A Participant may submit a buyback request through the dashboard or another channel determined by the Management Company. A request does not create an obligation to repurchase.

Before buyback, the Management Company may require KYC/AML refresh, sanctions screening, tax forms, proof of ownership, release documents and compliance with transfer restrictions.

Buyback Cap

The indicative maximum buyback consideration may be capped at 10x the Initial Subscription Amount.

Maximum Buyback Cap = Initial Subscription Amount x 10.

Actual Buyback Price = amount approved by Management Company, subject to this Buyback Policy, but not exceeding Maximum Buyback Cap unless Management Company decides otherwise.

10x is a maximum cap, not a guarantee. If a Participant contributed USD 10,000, maximum indicative buyback consideration may be up to USD 100,000, but actual price may be lower or buyback may not occur.

Fair Value Methodology

The Management Company may use a fair value methodology considering AUM, management fee revenue, performance fee revenue, net profit, operating margin, EBITDA, recurring revenue, technology platform value, market conditions, liquidity, regulatory status, liabilities, reserves and risk factors.

Dashboard model value is not a market price, sale guarantee, binding buyback price or confirmation of liquidity.

Transfer Restrictions

Third-party sale of Converted Share is prohibited without written consent of the Management Company. Buyback is the sole or primary exit mechanism unless otherwise agreed in writing.

Taxes and Costs

The Participant is solely responsible for taxes, duties, bank costs, exchange or network fees related to buyback. The Management Company may withhold taxes or charges if required by law.
