Non-Launch and Structuring Risk

Fund, Management Company, jurisdiction, corporate form, fund documents, conversion mechanics, dividend mechanics and buyback mechanics may change or may not be implemented.

A Conversion Event may not occur. The Fund may not be created, registered, licensed or launched.

Token and Conversion Risk

Before a Conversion Event, Seed Token is not final equity or fund interest. Conversion depends on KYC/AML, eligibility, legal structure, corporate approvals, updated documents and a Management Company decision.

The formula may use Max Token Supply and Max Investor Pool. A Participant has no right to demand a larger share due to unsold tokens.

Dividend Risk

Dividend Distribution is not guaranteed. The Management Company may have no net profit, allocate profit to reserves or reinvestment, or decide not to distribute profit.

Quarterly dividend pool may be capped at 10% of net profit, but actual distribution may be zero.

Buyback and Liquidity Risk

Buyback is not guaranteed redemption. The Management Company may reject or defer buyback. Actual Buyback Price may be lower than model value or the 10x cap.

10x cap does not mean an obligation to repurchase at 10x.

Market and Treasury Risk

Seed proceeds may be used for permitted expenses, market operations, test strategies or liquidity management. This may result in drawdown or partial or total loss of Treasury.

Regulatory, Tax and Transfer Risk

Authorities, banks, exchanges, payment systems or KYC providers may require structure changes, blocking, refusal of participation or additional procedures.

Transfer restrictions may limit sale or transfer of Token or Converted Share. The Participant is solely responsible for taxes.

Blockchain, Wallet and Cybersecurity Risk

Smart contracts, blockchain networks, wallets, custodians, exchanges, bridges and APIs may have vulnerabilities, downtime, hacks, wrong transactions, private key loss, phishing or operational failures.
